1. LIMITED WARRANTY
Zenibee Inc. (“Zenibee,” “we,” “our,” or “us”) provides this Limited Warranty for eligible Zenibee products sold in the United States.
This Limited Warranty covers defects in materials and workmanship under normal personal, family, and household use, subject to the terms, conditions, limitations, exclusions, and procedures below.
THIS LIMITED WARRANTY IS THE ONLY WRITTEN WARRANTY PROVIDED BY ZENIBEE FOR THE PRODUCT UNLESS ZENIBEE EXPRESSLY STATES OTHERWISE IN A SEPARATE WRITTEN WARRANTY DOCUMENT.
2. WHO IS COVERED
This Limited Warranty applies only to the original end-user purchaser of a new Product purchased directly from Zenibee or from an authorized Zenibee seller in the United States.
To make a claim under this Limited Warranty, you must provide valid proof of purchase reasonably acceptable to Zenibee.
This Limited Warranty is non-transferable and applies only to the original purchaser.
Products obtained from unauthorized sellers, resellers, liquidators, auction sites, marketplace sellers not authorized by Zenibee, secondhand sellers, or similar sources are not covered by this Limited Warranty.
3. COVERED PRODUCT
For purposes of this Limited Warranty, the “Product” means the applicable Zenibee juvenile mobility product sold by Zenibee or an authorized Zenibee seller in the United States, together with any original components included in the box at the time of sale, unless a separate written warranty expressly applies to a specific component or accessory.
For clarity, Product categories under this Limited Warranty are divided as follows:
3.1 Main Product and Safety-Critical Structural or Mechanical Components
These include the primary structural and mechanical elements of the Product, such as the frame, chassis, structural shell, structural joints, integrated locking systems, braking mechanisms, restraint hardware, transformation-related hinges and locking points, and other safety-critical structural or mechanical assemblies, as applicable to the Product.
3.2 Soft Goods, Cosmetic Finishes, and Wear-Prone Non-Structural Parts
These include fabrics, pads, canopies, grips, baskets, covers, trim, coatings, finishes, wheels, tires, bearings, and other wear-prone or non-structural items.
3.3 Electronics, If Any
These include any sensors, powered modules, battery systems, charging components, or connected or electronic features included with the Product, if any.
Unless Zenibee expressly states otherwise in writing, separately sold accessories may be subject to different warranty terms or may not be covered under this Limited Warranty.
4. WARRANTY PERIOD
Subject to all terms, limitations, and exclusions in this Limited Warranty, Zenibee provides the following baseline warranty coverage:
4.1 Main Product and Safety-Critical Structural or Mechanical Components
Zenibee warrants the main Product and safety-critical structural or mechanical components against defects in materials and workmanship for two (2) years from the date of delivery to the original purchaser.
4.2 Soft Goods, Cosmetic Finishes, and Wear-Prone Non-Structural Parts
Zenibee warrants soft goods, cosmetic finishes, and wear-prone non-structural parts against defects in materials and workmanship for one (1) year from the date of delivery to the original purchaser.
4.3 Electronics, If Any
Zenibee warrants electronics, if any, against defects in materials and workmanship for one (1) year from the date of delivery to the original purchaser.
5. WHEN COVERAGE BEGINS AND ENDS
Warranty coverage begins on the date of delivery of the Product to the original purchaser.
If the exact date of delivery cannot be verified, Zenibee may determine the warranty start date using other reasonably reliable records, including shipment records, fulfillment records, or proof of purchase showing delivery timing.
Warranty coverage ends when the applicable warranty period expires, unless otherwise required by applicable law.
Any replacement product, replacement component, repaired component, or service part supplied by Zenibee under this Limited Warranty will be covered for the longer of:
- the remainder of the original applicable warranty period; or
- ninety (90) days from the date the replacement product, replacement component, repaired component, or service part is delivered to you.
THIS LIMITED WARRANTY DOES NOT EXTEND THE PRODUCT’S SAFE USEFUL LIFE, EXPIRATION DATE, OR ANY MANDATORY RETIREMENT, REPLACEMENT, OR DISCONTINUED-USE PERIOD STATED IN THE PRODUCT MANUAL, LABELS, WARNINGS, INSERTS, OR OTHER SAFETY MATERIALS.
6. WHAT THIS LIMITED WARRANTY COVERS
Zenibee warrants that, during the applicable warranty period, the Product will be free from defects in materials and workmanship under normal use and in accordance with the Product instructions, warnings, and user documentation.
This Limited Warranty covers only qualifying defects in materials and workmanship. It does not guarantee uninterrupted use, defect-free performance in all circumstances, or coverage for every product issue regardless of cause.
7. WHAT ZENIBEE WILL DO FOR A VALID CLAIM
If Zenibee determines, in its sole discretion, that a claim is covered under this Limited Warranty, Zenibee may choose one or more of the following remedies:
- repair the Product or the affected component;
- replace the Product or the affected component;
- provide a new, refurbished, reconditioned, or functionally equivalent replacement part or product;
- provide an updated, successor, or comparable model or component with equal or greater functionality if the original model or component is unavailable; or
- if repair or replacement is not reasonably available, provide a refund or partial refund, as appropriate and subject to applicable law.
For safety-critical components, Zenibee may elect replacement rather than repair.
Replacement products or components may differ in color, finish, trim, or other non-material cosmetic details from the original Product or component.
ANY DECISION REGARDING THE APPROPRIATE REMEDY WILL BE MADE BY ZENIBEE IN ITS SOLE DISCRETION, SUBJECT TO APPLICABLE LAW.
8. WHAT IS NOT COVERED
This Limited Warranty does not cover any issue, defect, damage, loss, or condition caused by, resulting from, or attributable to any excluded circumstance below.
8.1 Normal Wear and Tear
This Limited Warranty does not cover normal wear and tear, including ordinary scuffs, scratches, cosmetic blemishes, fading, fabric pilling, foam compression, ordinary coating wear, wheel or tire wear, bearing wear, or similar deterioration arising from normal use over time.
8.2 Misuse, Abuse, Improper Use, Improper Transformation, or Failure to Follow Instructions
This Limited Warranty does not cover damage caused by misuse, abuse, neglect, improper assembly, improper installation, improper adjustment, improper maintenance, failure to follow instructions or warnings, failure to follow age, weight, height, fit, or use limitations, or use outside the Product’s intended purpose.
This Limited Warranty also does not cover damage caused by improper transformation, improper folding or unfolding, improper mode conversion, failure to confirm that locks, latches, joints, or engagement points are fully secured, or use of the Product in any mode not permitted by the Product instructions, labels, warnings, or safety materials.
8.3 Unauthorized Modifications, Accessories, Parts, or Repairs
For safety, compatibility, and performance, Zenibee strongly recommends the use of Zenibee-authorized replacement parts and Zenibee-authorized service providers, especially for safety-critical components.
This Limited Warranty does not cover damage caused by unauthorized modifications, unauthorized accessories, non-approved replacement parts, non-approved attachments, repairs or service not authorized by Zenibee, or alterations that affect the Product’s structure, stability, braking, restraint performance, fit, transformation mechanism, or safety.
FOR CLARITY, THIS EXCLUSION APPLIES TO DAMAGE CAUSED BY SUCH MODIFICATIONS, ACCESSORIES, PARTS, OR REPAIRS. IT DOES NOT AUTOMATICALLY ELIMINATE ALL WARRANTY COVERAGE UNRELATED TO THE EXCLUDED CAUSE.
8.4 External Causes and Non-Defect Events
This Limited Warranty does not cover damage caused by accidental damage, impacts, drops, tip-overs, improper storage, damp storage, mold, mildew, rust, corrosion, moisture intrusion, prolonged sun exposure, ultraviolet exposure, harsh detergents, chemical exposure, sunscreen, sweat, frequent washing, fire, flood, weather events, pests, pets, theft, loss, vandalism, airline handling, freight handling, commercial transport damage, or any other external cause not resulting from a defect in materials or workmanship.
8.5 Cosmetic-Only Conditions
This Limited Warranty does not cover purely cosmetic conditions that do not affect safety or function, except to the extent a cosmetic issue itself results from a covered defect in materials or workmanship during the applicable warranty period.
8.6 Commercial or Institutional Use
Unless Zenibee expressly states otherwise in writing, this Limited Warranty does not cover Products used for commercial, institutional, rental, fleet, daycare, transportation-service, or other non-household purposes.
8.7 Unauthorized Sellers and Chain-of-Custody Issues
This Limited Warranty does not cover Products purchased through unauthorized sellers or where Zenibee cannot reasonably verify authorized chain of distribution, original purchase status, or product authenticity.
9. HOW TO MAKE A CLAIM
To submit a warranty claim, contact Zenibee using the support information listed below and provide, at minimum:
- your name and contact information;
- proof of purchase;
- the Product model, serial number, batch number, or other identifying information, if available;
- a description of the issue;
- photographs or videos reasonably requested by Zenibee;
- any other information reasonably requested by Zenibee to evaluate the claim;
- an order number, if available;
- a photograph of the Product’s serial label, date-of-manufacture label, batch label, or permanent traceability sticker, if present and reasonably legible; and
- confirmation whether the Product has been involved in any airline transport incident, freight damage event, unauthorized modification, or non-Zenibee repair.
Zenibee may require additional information to investigate the claim, including information regarding how the Product was used, stored, assembled, maintained, transported, cleaned, transformed, or repaired.
Zenibee may deny a claim if required information is incomplete, inaccurate, misleading, fraudulent, or not provided within a reasonable time.
10. INSPECTION AND RETURN REQUIREMENTS
Zenibee may require inspection of the Product, return of the Product, return of the affected component, or other steps reasonably necessary to evaluate a claim.
Zenibee may first attempt to evaluate claims through photographs, videos, or remote support before requiring physical return.
You must follow Zenibee’s return, inspection, packaging, and shipping instructions. Failure to follow those instructions may result in delay, denial of the claim, or additional charges where permitted by law.
If Zenibee requests return of the Product or a component for inspection and you do not comply within a reasonable time, Zenibee may close the claim.
If Zenibee requests return of the Product for inspection, the Product must be returned in reasonably clean condition, subject to ordinary use. Zenibee may refuse to accept or may delay processing of returned Products that present a sanitation, contamination, or handling risk.
11. SHIPPING AND LOGISTICS FOR CLAIMS
For claims that Zenibee preliminarily approves for inspection, repair, or replacement, Zenibee will generally provide prepaid shipping, return labels, pickup arrangements, or other reasonable shipping support.
If damage appears to have occurred during airline, freight, or other third-party transit after delivery, the customer should inspect the Product promptly and pursue any available claim directly with the carrier or transportation provider.
However, if Zenibee determines after evaluation, inspection, or review that the issue is not covered under this Limited Warranty and instead resulted from an excluded cause, including customer-caused damage, misuse, improper assembly, improper installation, unauthorized modification, unauthorized repair, accident, ordinary wear and tear, or other excluded circumstances, then, to the extent permitted by law:
- Zenibee may deny the claim;
- the customer may be responsible for inbound shipping, return shipping, inspection-related costs, or other reasonable logistics costs; and
- Zenibee may require payment of such amounts before returning the Product or component.
If a claim is denied and the customer does not pay applicable return-shipping or related charges within a reasonable time after notice, Zenibee may, to the extent permitted by law, store, recycle, dispose of, or otherwise handle the Product or component after providing reasonable notice.
NOTHING IN THIS SECTION LIMITS ANY RIGHTS YOU MAY HAVE UNDER APPLICABLE LAW WHERE RETURN OR TRANSPORT COSTS MUST BE BORNE BY THE MANUFACTURER.
12. PRODUCT REGISTRATION AND RECALL COMMUNICATIONS
Product registration is encouraged to support product safety communications, recall effectiveness, service communications, and ownership verification.
REGISTRATION IS NOT REQUIRED FOR BASELINE WARRANTY COVERAGE UNDER THIS LIMITED WARRANTY.
A valid proof of purchase is sufficient to establish eligibility for warranty consideration, subject to the other terms of this Limited Warranty.
Zenibee may provide product registration mechanisms, including a physical registration card, online registration portal, QR code, website registration pathway, or similar registration method, to help communicate recall or other safety information where applicable.
By registering your Product, you help Zenibee contact you more effectively if a recall, safety notice, product update, or similar safety-related communication becomes necessary.
Registration does not create any additional warranty period, extension, perk, or separate warranty benefit unless Zenibee expressly states otherwise in a separate written document.
13. TERRITORIAL LIMITATION
This Limited Warranty applies only to Products originally sold by Zenibee or an authorized Zenibee seller in the United States for use in the United States.
Zenibee may refuse warranty service, replacement shipments, or warranty administration outside the United States or for Products originally sold into another market or jurisdiction.
14. RELATIONSHIP TO PRODUCT MANUALS, LABELS, WARNINGS, AND SAFETY MATERIALS
This Limited Warranty does not replace or supersede the Product manual, user guide, installation instructions, labels, warnings, inserts, fit guidance, retirement guidance, or other safety materials.
You are responsible for reading and following all Product instructions, labels, warnings, and safety materials.
ANY EXPIRATION DATE, USE LIMITATION, REPLACEMENT GUIDANCE, RETIREMENT REQUIREMENT, OR DISCONTINUED-USE INSTRUCTION STATED IN THE PRODUCT MANUAL, LABELS, WARNINGS, OR SAFETY MATERIALS REMAINS FULLY APPLICABLE REGARDLESS OF ANY WARRANTY CLAIM, REPAIR, OR REPLACEMENT.
15. LIMITATION OF IMPLIED WARRANTIES
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY IMPLIED WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY AND ANY IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE, ARE LIMITED IN DURATION TO THE DURATION OF THE APPLICABLE EXPRESS LIMITED WARRANTY PERIOD STATED IN THIS LIMITED WARRANTY.
Zenibee does not authorize any person to create for it any other obligation or liability in connection with the Product.
SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
16. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, ZENIBEE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOSS OF USE, INCONVENIENCE, LOSS OF TIME, TRANSPORTATION COSTS, SUBSTITUTE PRODUCTS, OR OTHER ECONOMIC LOSS, ARISING OUT OF OR RELATING TO THE PRODUCT OR THIS LIMITED WARRANTY.
TO THE FULLEST EXTENT PERMITTED BY LAW, ZENIBEE’S TOTAL LIABILITY UNDER THIS LIMITED WARRANTY WILL NOT EXCEED THE ORIGINAL PURCHASE PRICE ACTUALLY PAID FOR THE PRODUCT GIVING RISE TO THE CLAIM.
Nothing in this Limited Warranty excludes or limits liability that cannot be excluded or limited under applicable law.
SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.
17. DISPUTE RESOLUTION; BINDING INDIVIDUAL ARBITRATION; CLASS ACTION WAIVER
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
17.1 Informal Resolution First
Before filing a lawsuit or starting arbitration, you and Zenibee agree to first try to resolve any dispute informally.
If you have a dispute, you must send written notice to Zenibee at hello@zenibee.com / 100 N Howard St. #7069, Spokane, WA 99201 describing the nature of the dispute and the relief you seek. If Zenibee has a dispute with you, Zenibee will send a similar notice to the contact information associated with your purchase or claim.
If the dispute is not resolved within thirty (30) days after notice is received, either party may begin arbitration or, if eligible, bring an individual action in small claims court.
17.2 Agreement to Arbitrate
EXCEPT FOR DISPUTES THAT QUALIFY FOR SMALL CLAIMS COURT, YOU AND ZENIBEE AGREE THAT ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THE PRODUCT, YOUR PURCHASE OF THE PRODUCT, THIS LIMITED WARRANTY, ANY ALLEGED BREACH OF WARRANTY, ANY REPRESENTATION RELATING TO THE PRODUCT, OR ANY RELATED RELATIONSHIP BETWEEN YOU AND ZENIBEE, WILL BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION AND NOT IN COURT.
This arbitration agreement is governed by the Federal Arbitration Act.
17.3 Arbitration Administrator and Rules
The arbitration shall be administered by the American Arbitration Association (“AAA”) under its applicable consumer arbitration rules then in effect, except as modified by this Limited Warranty.
If AAA is unavailable or unwilling to administer the arbitration, the parties shall confer in good faith to select another nationally recognized arbitration administrator. If the parties cannot agree, a court of competent jurisdiction may appoint the arbitration administrator.
17.4 Arbitration Procedure
Unless otherwise required by applicable law or the administrator’s rules:
(a) the arbitration may be conducted remotely, by submission of documents, by telephone, by video conference, or in person, as determined by the arbitrator;
(b) the arbitration shall be conducted by a single neutral arbitrator;
(c) the arbitrator shall have authority to award any individual remedy available under applicable law, subject to this Limited Warranty; and
(d) the arbitrator shall issue a written decision sufficient to explain the essential findings and conclusions on which the award is based.
17.5 Small Claims Court Option
Either party may bring an individual claim in small claims court instead of arbitration if the claim qualifies and remains on an individual basis.
17.6 Individual Claims Only; No Class Actions or Mass Actions
YOU AND ZENIBEE AGREE THAT ALL DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF, CLAIMANT, CLASS REPRESENTATIVE, CLASS MEMBER, PRIVATE ATTORNEY GENERAL, OR IN ANY OTHER REPRESENTATIVE, CONSOLIDATED, COLLECTIVE, OR MASS PROCEEDING.
YOU AND ZENIBEE WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, MASS ACTION, OR CLASS-WIDE, COLLECTIVE, REPRESENTATIVE, OR MASS ARBITRATION.
The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that individual party’s claim. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of representative, collective, class, or mass proceeding.
17.7 Jury Trial Waiver
TO THE EXTENT ANY DISPUTE PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU AND ZENIBEE KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A JURY TRIAL, TO THE FULLEST EXTENT PERMITTED BY LAW.
17.8 Fees
Payment of filing, administration, and arbitrator fees shall be governed by the arbitration administrator’s applicable consumer rules and applicable law.
17.9 Injunctive or Equitable Relief
Nothing in this Limited Warranty prevents either party from seeking temporary, preliminary, or injunctive relief in a court of competent jurisdiction when necessary to protect rights pending completion of arbitration, including relief relating to intellectual property, confidentiality, fraud prevention, misuse, or unauthorized transfer or abuse of rights.
17.10 Severability of Arbitration Provision
If any part of this Section 17 is found unenforceable as to a particular claim or request for relief, then that claim or request for relief shall be severed and proceed in a court of competent jurisdiction only to the extent necessary, and the remainder of this Section 17 shall remain enforceable.
If the class action waiver in Section 17.6 or the prohibition on class, collective, representative, or mass arbitration in Section 17.6 is found unenforceable as to a particular dispute, then those portions shall be deemed severed, and such dispute shall proceed in a court of competent jurisdiction, not in arbitration, but only to the extent required by that ruling.
18. GOVERNING LAW
Except to the extent preempted by federal law, including the Federal Arbitration Act, this Limited Warranty and any dispute arising out of or relating to it will be governed by the laws of the State of Delaware, without regard to conflict-of-law rules, except that any state-law consumer protection rights that cannot be waived or displaced will remain applicable as required by law.
19. STATE-LAW RIGHTS
THIS LIMITED WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS THAT VARY FROM STATE TO STATE.
20. ENTIRE WARRANTY; CHANGES
This document is the complete and exclusive written limited warranty provided by Zenibee for the Product unless Zenibee expressly issues another separate written warranty document.
Zenibee may update this Limited Warranty from time to time for future sales, but the version in effect at the time of the original retail sale of your Product will govern your claim, except to the extent a later version is required by law to apply.
